Board Members in Attendance: Cinda Moreno, David West, Rich Kelley
Location: Valley Telecom Conference Room, Willcox, AZ
Meeting Called to Order: 1:01 pm

Agenda:  Voting on Proposal to Divide Highroads POA, Collection of any hand-in ballots, and Announcement of voting results.

1.  Last call for hand-in ballots produced no ballots.
2.  Oberreuter Accounting turned over the final ballot count to the directors.  A total of 87 ballots were sent        in:  20 votes to divide the association and 67 votes to NOT divide the association. The proposal did not        pass.
3. There being no further business, upon motion duly made and seconded the meeting was adjourned.

Al Duff's resignation

To:  All POA Members

       I am resigning today for health reasons.  First, I want to thank all of you who elected me twice and apologize for being unable to finish my term.  Secondly, I would like to thank all the other board members for their help in getting things done.

       I would also like to share with you some of my observations on our POA.  Our POA is actually two POAs, Cedar Springs and Eureka Springs Phase II.  Originally these were separate and then they were combined by AZ Land and Ranches.  This should never have been done.  The members who live in Cedar Springs have different needs than those in Eureka Springs II.  The method of meeting those needs was the cause of some of the conflicts in our organization.  I had hoped that these difficulties would have gone away after the last election, unfortunately, they did not.  If, in the future there is any way of dividing the POA back into the original parts I strongly encourage you to support the effort.

        The second issue I would like to address is the rewriting of the Declaration of Covenants and the Bylaws of the Association.  This is our organization and we have the right to re-make it to suit our needs.  The Declaration which was provided by AZ Land and Ranches is a cut and paste work from other developments and sub-divisions, with a few minor things thrown in for our specific developments.  We need to reform these to what suits us.  We are a very diverse group but I believe that there will be some items on which we can all agree.  I hope to be well enough to assist with the rewriting and if I can I will ask for your suggestions at the appropriate time.  If I am unable to assist please remember that the rights of the Ranchers may not be altered without a legal battle.  The Ranchers paid for the grazing and water access rights.  Please do not try to sever them.  In closing, I wish you the best of luck with your properties and your personal endeavors.

Grazing Lease

I was asked to investigate the possibility of lowering taxes on unoccupied parcels by way of leasing them to the Ranchers for grazing purposes. . It took me a while to locate the person in the Assessor's office (I'm not in Safford that often). The answer is that it would be very complex to do so. The Rancher  already has grazing rights to the unfenced properties. You would need to fence your property to establish your own rights and then convince the Rancher that he should lease them. In short you have nothing to lease until the property is fenced.

ANNOUNCEMENT OF SPECIAL BOARD OF DIRECTORS MEETING

March 21, 2014

The Board of Directors will hold a special directors meeting on April 9, 2014 starting at 1:00 pm. Location
will be at Lot 185, 29350 W. Bonita/Klondyke Rd.

The agenda will be as follows:

1.   Changing bookkeeper/accountant.
2.   Requests for, and issuance of, variances to the CCRs
3.   Issuance of  liens on unpaid assessment fees
4.   Alterations to CCRs
5.   Billing for past erroneous exemptions to assessment fees
6.   Grader supplies reimbursement
7.   Road grading schedule/repair Paddy River Rd
8.   CCR 6.4
9.   Housekeeping
10. Executive session – pending litigation

Members are invited to attend. When the floor is open, members upon being recognized, will be
allowed to speak for 3 minutes only. Name and lot number must be given prior to being recognized.
Nonmembers will not be recognized unless officially speaking for a member (i.e. lawyer).
